GUTCALL Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and GUTCALL LLC, a New Jersey limited liability company ("GUTCALL," "we," "us," or "our"). They govern your access to and use of gutcall.net, the GUTCALL intelligence service, the GUTCALL Intelligence API, and the documentation, communications, and tools that we make available under these Terms (collectively, the "Service").

PLEASE READ THESE TERMS CAREFULLY. They contain important limitations of liability and an agreement in Section 21 to resolve most disputes through binding individual arbitration. Section 21 explains how to opt out of arbitration within 30 days.

By submitting a Request Access application, by using a credential GUTCALL issues to you, or by accessing a restricted part of the Service, you agree to be bound by these Terms and acknowledge our Privacy Policy. If you use the Service for an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

Submitting a Request Access application does not create an account, subscription, trial, customer relationship, or entitlement to the Service. We process the application as described in our Privacy Policy.

If you and GUTCALL enter an Order Form, customer agreement, data-use schedule, or other signed agreement, that agreement supplements these Terms. Its specific terms control if there is a direct conflict.

1. Eligibility

You must be at least 18 years old and have legal capacity to enter a contract. If a higher age applies where you live or to activity involving prediction markets, you must meet that higher age.

You may not use the Service if applicable law prohibits you from receiving it, if you are a blocked or restricted person, or if your access would cause GUTCALL to violate sanctions, export controls, or other law.

2. Selective access

Some public portions of the website may be viewed without an account. Proprietary intelligence, the Intelligence API, and other restricted capabilities are available only to people and organizations approved by GUTCALL and issued a credential. GUTCALL does not offer self-service registration. There is no public sign-up, no free tier, and no way to obtain access other than by application and approval.

Requesting access is an application for consideration. GUTCALL may approve, decline, defer, limit, suspend, or revoke access in its discretion, subject to applicable law. We do not promise to disclose our admission criteria, capacity, review process, acceptance reasons, or rejection reasons.

Approval does not guarantee access to every feature, source, investigation, sector, output, or delivery method. Your account, plan, Order Form, or customer agreement defines your authorized use.

3. What GUTCALL provides

GUTCALL is an independent outcome-intelligence operation built first for prediction markets. For each maintained question it holds the exact resolution contract, the conditions in the world that answer depends on, the current state of each condition against the official sources that establish it, and a plain-language judgment committed by a named analyst when that state materially changes. Every judgment, revision, contradiction and closure is retained, so a maintained question carries its whole record from first commit to resolution.

Committed judgments and the current state of a maintained question are published at gutcall.net. The Intelligence API delivers the maintained files to approved clients. Supporting receipts, source excerpts, collection methods and reviewer identity are not published on either surface.

GUTCALL is not a prediction-market venue, securities or commodities exchange, broker, dealer, futures commission merchant, investment adviser, sportsbook, bookmaker, gambling operator, payment service, or custodian. GUTCALL does not accept, hold, transmit, route, match, execute, or settle any order, trade, bet, wager, position, token, fund, or asset.

4. No financial, investment, trading, legal, or tax advice

The Service provides descriptive intelligence, research, analytics, and reference information. It does not tell you what position to take and does not consider your portfolio, objectives, financial condition, risk tolerance, or intended transaction.

Nothing in the Service is a recommendation, solicitation, guarantee, or offer to buy, sell, hold, enter, exit, size, hedge, or execute any security, commodity interest, contract, token, position, bet, or wager. GUTCALL does not promise that its intelligence will predict an outcome, improve a decision, produce a profit, prevent a loss, or provide a trading edge.

You are solely responsible for your research, decisions, compliance, and transactions. Obtain independent professional advice where appropriate.

5. Prediction markets and third-party venues

Prediction-market and related trading laws vary by product, venue, country, state, and locality and can change without notice. A venue or contract may be unavailable or unlawful for you even if it is referenced in the Service.

The Service does not authorize you to access a venue, circumvent geographic restrictions, or engage in an activity prohibited where you are located. You are responsible for determining whether your access, use, and any separate activity on a third-party venue are lawful.

GUTCALL is not a party to any transaction between you and a third-party venue. Links and references do not constitute endorsement or permission to use that venue.

6. License and authorized organizational use

Subject to these Terms, your entitlement, and any applicable Order Form, GUTCALL grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service during your authorized term for your internal informational, research, and analytical purposes.

Approved organizations may permit only their authorized users to use the Service for the organization's internal purposes. The organization is responsible for its authorized users and for promptly removing access when a user no longer requires it.

No license permits public redistribution, resale, publication, sublicensing, data brokerage, white-labeling, or creation of a competing product unless a signed agreement expressly grants that right.

7. Credentials

Access to restricted capabilities is granted through a credential GUTCALL issues to an approved person or organization. You are responsible for safeguarding every credential issued to you, for the systems that hold it, and for all activity conducted with it.

Do not share, transfer, publish, or embed a credential in client-side code, and do not permit an unauthorized person to use one. Notify intelligence@gutcall.net promptly if you suspect a credential has been exposed or used without authorization.

GUTCALL may verify identity, authority, and intended use before issuing a credential, and may rotate, scope, suspend, or revoke one at any time to protect the Service, comply with a source restriction, or enforce your agreement.

8. Intelligence API

API access requires separate approval and credentials. Subject to your plan or Order Form, you may use the API to retrieve authorized GUTCALL outputs and integrate them into your internal systems.

You must follow the private documentation, authentication rules, rate limits, quotas, attribution requirements, retention limits, and security instructions provided to you.

Unless a signed agreement expressly permits it, you may not:

  • expose API credentials to another person or in client-side code;
  • redistribute, resell, publish, sublicense, or provide API responses to a third party;
  • create a public, external, or competing database from API responses;
  • use the API to reconstruct restricted source data or GUTCALL methods;
  • evade quotas, rate limits, access controls, or monitoring;
  • use API output to train, benchmark, or improve a competing model, dataset, or service.

We may rotate credentials, throttle traffic, change an endpoint, or suspend API access to protect the Service, comply with source restrictions, or enforce your agreement. Any committed support or deprecation period must appear in an Order Form or customer agreement.

9. Acceptable use

You agree not to, and not to help another person to:

  • copy, scrape, crawl, harvest, cache, download, or systematically extract Service content except through an authorized interface and within stated limits;
  • resell, redistribute, publish, sublicense, mirror, or commercially exploit Service content outside your permitted internal use;
  • reverse engineer, decompile, disassemble, probe, or attempt to derive source code, models, source access, collection methods, assessment logic, or nonpublic systems, except where a restriction is prohibited by law;
  • bypass authentication, entitlements, security controls, robots controls, rate limits, or technical restrictions;
  • interfere with the Service, introduce malicious code, test vulnerabilities without written authorization, or impose unreasonable load;
  • use the Service to build, train, benchmark, or improve a competing intelligence product, dataset, model, or service;
  • misrepresent your identity, organization, authorization, location, or intended use;
  • use the Service to violate law, venue rules, sanctions, export controls, intellectual-property rights, privacy rights, or contractual obligations;
  • use the Service to manipulate a market, coordinate unlawful trading, mislead other participants, or conceal unlawful activity;
  • use intelligence to harass, stalk, threaten, dox, discriminate against, or physically harm a person;
  • use the Service to identify or target live military units, protected persons, critical vulnerabilities, or sensitive locations in a manner that creates an unreasonable risk of harm;
  • upload or transmit passwords, private keys, seed phrases, financial-account credentials, unlawfully obtained material, or sensitive personal information that GUTCALL did not request.

10. Intelligence integrity and responsible use

GUTCALL assessments may combine observed facts, estimates, calculations, inferences, and alternative explanations. They may be delayed, incomplete, uncertain, corrected, superseded, or affected by source errors.

Labels, statistics, classifications, and assessments describe the available evidence and do not guarantee a future event or market resolution. You must evaluate the evidence and limitations independently.

If you believe an assessment contains a material factual error, safety issue, or rights violation, contact intelligence@gutcall.net with enough information for us to investigate.

11. Complimentary access, fees, and cancellation

Request Access does not enroll you in a paid plan. A complimentary early-access period does not automatically convert into a paid subscription unless you separately authorize recurring payment after receiving clear pricing and renewal disclosures.

If you enter a paid arrangement, the Order Form or purchase terms will state the price, term, renewal terms, included usage, taxes, cancellation method, and any promotional conditions before you authorize payment. Cancellation normally takes effect at the end of the current paid period unless applicable law or your Order Form provides otherwise.

Fees are non-refundable except where required by law or expressly stated in your Order Form or purchase terms. Usage-based charges already incurred remain payable. Institutional commitments, minimum terms, and negotiated termination rights are governed by the applicable Order Form.

You are responsible for applicable taxes other than taxes based on GUTCALL's net income.

12. Third-party sources and services

The Service may incorporate or reference information from prediction-market venues, government records, public blockchains, public web sources, licensed data providers, and other third parties.

Third-party information may be delayed, unavailable, incomplete, inaccurate, revised, or subject to separate rights and restrictions. GUTCALL does not guarantee continued access to a source or that a third party will maintain any market, API, website, record, or service.

Third-party names, marks, and content belong to their respective owners. Reference to a third party does not imply sponsorship, endorsement, partnership, or approval of GUTCALL.

13. GUTCALL intellectual property

The Service, including its software, design, presentation, assessments, analytical structure, taxonomies, compilations, documentation, interfaces, graphics, and GUTCALL-created content, is owned by GUTCALL or its licensors and is protected by intellectual-property and other laws.

Except for the limited license in Section 6, no right, title, or interest is transferred to you. You may not remove proprietary notices or suggest that GUTCALL intelligence is your own work.

If you provide feedback or suggestions, you grant GUTCALL a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation. Do not provide feedback that you are not authorized to share.

14. Confidential and restricted information

Nonpublic intelligence, investigations, API documentation, credentials, methods, customer materials, and other information marked confidential or reasonably understood to be confidential must be protected from unauthorized access and disclosure.

You may disclose restricted information only to authorized users who need it for permitted internal use and are bound to protect it. You remain responsible for unauthorized screenshots, exports, forwarding, publication, or disclosure by your users.

These obligations do not apply to information that you can document was lawfully public without your breach, already lawfully known without restriction, independently developed without restricted information, or lawfully received from a third party without a duty of confidentiality.

15. Service availability and changes

GUTCALL is actively developed. We may add, remove, correct, suspend, or change features, sources, investigations, delivery methods, limits, and outputs. We may remove material when rights, safety, quality, legal, or source conditions require it.

Unless a signed agreement states otherwise, we do not promise uninterrupted availability, a service level, a minimum publication frequency, coverage of a particular sector, or continued availability of any source or assessment.

16. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND ALL INTELLIGENCE, DATA, ASSESSMENTS, SOFTWARE, AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." GUTCALL DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, TIMELINESS, COMPLETENESS, RELIABILITY, AVAILABILITY, AND RESULTS.

GUTCALL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR SUITABLE FOR ANY TRANSACTION OR DECISION. YOU USE THE SERVICE AND RELY ON ITS CONTENT AT YOUR OWN RISK.

Some jurisdictions do not allow certain disclaimers, so some of this Section may not apply to you.

17. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GUTCALL AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, TRADING RESULTS, INVESTMENT RESULTS, OR EXPECTED SAVINGS, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE FULLEST EXTENT PERMITTED BY LAW, GUTCALL'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID GUTCALL FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS.

The exclusions and cap do not apply where prohibited by law. A signed Order Form may state a different negotiated cap for an institutional customer.

18. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless GUTCALL and its members, officers, employees, contractors, and agents from third-party claims, losses, liabilities, damages, judgments, costs, and reasonable legal fees arising from your unlawful or unauthorized use of the Service, your content or credentials, your violation of these Terms, or your violation of another person's rights.

This Section does not require a consumer to indemnify GUTCALL to the extent prohibited by applicable law. An institutional agreement may contain different indemnification terms.

19. Suspension and termination

You may stop using the Service at any time, and may cancel a paid arrangement as described in Section 11.

GUTCALL may suspend, restrict, or terminate access when we reasonably believe it is necessary to enforce these Terms, protect the Service or another person, respond to source or legal restrictions, prevent abuse, address nonpayment, or manage an emergency. We may also decline to renew access.

On termination, your right to use the Service ends. Sections that by their nature should survive will survive, including Sections 3 through 5, 8 through 10, 12 through 14, and 16 through 23.

20. Privacy and communications

Our Privacy Policy explains how we collect, use, disclose, and retain personal information. You agree to keep your contact information current so we can send account, security, legal, billing, and service notices.

You may opt out of marketing email, but you may still receive transactional, security, billing, and legal messages necessary to administer the Service.

21. Governing law, arbitration, and class-action waiver

These Terms are governed by the laws of New Jersey, without regard to conflict-of-laws rules, except that the Federal Arbitration Act governs arbitration.

Before starting a formal dispute, you and GUTCALL agree to contact the other and attempt in good faith to resolve the matter for 30 days. Notices to GUTCALL must be sent to intelligence@gutcall.net.

Except for an eligible individual small-claims action or a request for temporary injunctive relief concerning security, confidentiality, or intellectual property, any dispute arising from or relating to these Terms or the Service will be resolved by final and binding individual arbitration administered by the American Arbitration Association under the applicable Consumer or Commercial Arbitration Rules. Arbitration may occur remotely or in New Jersey. Judgment on an award may be entered in a court with jurisdiction.

YOU AND GUTCALL AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY. NEITHER PARTY MAY PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE ACTION OR ARBITRATION TO THE EXTENT PERMITTED BY LAW.

You may opt out of arbitration by emailing intelligence@gutcall.net within 30 days after first accepting these Terms. Include your name, account email, and a clear statement that you opt out of arbitration. If you validly opt out, disputes will be resolved exclusively in the state or federal courts located in New Jersey, and the parties consent to their jurisdiction.

Nothing in this Section prevents you from reporting a matter to a government agency where the law permits.

22. Changes to these Terms

We may update these Terms as the Service, law, or business changes. We will post the revised Terms with a new date and provide additional notice where required.

If a change materially affects an existing restricted user's rights or obligations, we may require renewed acceptance before continued use. Changes do not apply retroactively unless required by law or expressly agreed.

23. General

These Terms, the Privacy Policy, and any applicable Order Form or signed customer agreement are the entire agreement concerning the Service and supersede prior statements on the same subject.

If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. GUTCALL may assign them in connection with a merger, financing, reorganization, sale of assets, or operation of the Service.

Nothing in these Terms creates employment, partnership, joint venture, fiduciary, brokerage, advisory, or agency relationship between you and GUTCALL.
